Investors can reclaim their committed funds in the cases below. Reclaimed funds can be claimed from the investor's Spring account.
Private stage
A private stage is the first stage of a raise, open to investors invited by the company and introduced through Spring's network. If the private stage does not reach its minimum by the deadline, investors can reclaim their full commitment.
Public stage
A public stage is an optional second stage, open to any verified, eligible investor. It opens only if the private stage succeeds. Investors can reclaim:
their full commitment, if the public stage does not reach its minimum by the deadline; or
the unallocated difference, if the stage is oversubscribed or the company allocates less than the amount committed.
Legal setup not completed
If legal setup is not completed within 60 days of the raise closing, the raise is treated as failed and investors can reclaim their full commitment.
Investor vote
If investors in a round vote to pass a reclaim proposal, the investment remaining in that round's escrow is returned to investors in proportion to their allocation in the round. Funds already released to the company are not returned.
