Preparation for the fundraise


Before you go live, you'll work with our team to settle the commercial terms — how much you're raising and at what valuation, what share of the company you're offering, your monthly allowance, and how the funds will be used. You'll also agree the timeline and investor terms, and decide whether the raise stays private or goes on to an optional public round.

Every raise begins privately. A public stage can only open once the private stage has succeeded.

Private stage (optional)

Invite up to 200 investors from your own network, individually or by uploading a list, and set the maximum each one can commit. US investors are limited to 99 in total.

Commitments are accepted in the order they arrive, against the round's total. Once an investor commits, their allocation is confirmed. Because commitments are accepted in order, though, an investor you invite later may only be able to commit up to whatever capacity remains in the round — even if that's less than the maximum you originally set for them.

If you need additional backing, Spring can introduce selected investors from its network. You agree terms with each one before adding them to your invite list. They count against maximum of 200 investors.

The round runs to the deadline you've agreed. If it doesn't reach its goal, the raise ends and investors reclaim their committed funds. After a successful private stage, you can close there, or move toward a public stage after a short preparation period.

Public stage — optional

Open to any verified Spring investor, running to its announced deadline. Because commitments stay open for the full period, it can be oversubscribed.

Once it closes, you have the chance to review investors and confirm allocations. Anyone not selected, or allocated less than they committed, is refunded.
