Your application becomes your company page on Spring. You can save it as a draft in My projects and return to it at any time. Drafts are private.
How the process runs
1. Open your account. Sign up with your email, and Spring creates your account and embedded wallet.
2. Fill in the application. Complete it section by section. Make sure the figures in your deck, financial model, cap table and application match.
3. Preview your application. Check that it's clear, accurate and complete before you submit.
4. Complete verification. Our team will walk you through the process.
5. Submit for review. Submitting doesn't guarantee approval. We'll contact you by email or Telegram.
6. Answer questions. We may ask for clarification or additional documents. Some terms are agreed with you at this stage: final legal structure, minimum investment, release schedule and investor eligibility.
7. Finish setup. Once your application is approved, you'll confirm your wallet, sign the legal documents and accept the final terms before your raise goes live.

Problem: who has it, how painful it is and how it's solved today, backed by evidence
Solution: what's live, what's planned and what makes it hard to copy
Market: your target customer, segment and geography, sized with TAM, SAM and SOM
Competition: direct and indirect alternatives, and your edge
3 · The numbers
Business model: pricing, margins, customer acquisition, retention and path to profitability
Traction: your key metrics with time periods, marked as confirmed or forecast, or what you've validated so far if you're pre-traction
Financials: historical P&L and cash flow, burn, runway, forecast and scenarios
4 · The team
For each founder and key team member: role, short biography, relevant experience, location and whether they work full-time
Team size, existing investors and advisors, and why this team is right for the problem
5 · The raise
Amount, valuation and percentage of the company offered
Expected start and close dates, and any existing commitments
Minimum amount needed to make your plan viable
Investor terms and any vesting, lockup or release schedule
Use of funds by category, with the goals tied to each

6 · Disclosures
Previous fundraising: past rounds and instruments, investors, terms and valuations, cap table and debt
Tokens: having a token, or planning one, doesn't affect your eligibility. A Spring raise issues a separate equity-backed token on Solana representing investors' economic claim, and your own token stays separate from it. Share its purpose, supply, distribution, prior sales, vesting, liquidity, holder rights and relationship to the company. Applications involving a token may need additional due diligence.
Legal: if you're not incorporated yet, just say so. Otherwise, share your entity details, IP ownership, licenses, material contracts and any disputes or restrictions.
Supporting materials: such as your pitch deck, financial model, technical documentation, audits or customer references.
